Affiliate Program Terms of Use

Effective upon acceptance into the Affiliate Program

These Affiliate Program Terms of Use ("Affiliate Terms") govern your participation in The Embody Lab Affiliate Program ("Program"). By registering for and/or participating in the Program, you agree to be bound by these Affiliate Terms, as well as The Embody Lab's general Terms of Use and Privacy Policy, which are incorporated herein by reference. The Embody Lab reserves the right to modify these Affiliate Terms at any time. Continued participation in the Program constitutes acceptance of any updated terms.

The term "Affiliate" or "you" refers to any individual or entity accepted into the Program. "Company," "we," or "us" refers to The Embody Lab.

1. Program Eligibility and Enrollment

Participation in the Affiliate Program is open to individuals and entities worldwide. International affiliates are eligible to participate, subject to compliance with applicable laws in their jurisdiction. Registration is free. Upon submitting your application, you will receive a notification of acceptance or denial within 24 hours.

We reserve the right to accept or reject any application at our sole discretion. Acceptance into the Program does not constitute an employment relationship, partnership, joint venture, or franchise between you and The Embody Lab. You are an independent contractor.

By registering, you represent and warrant that:

• You are at least 18 years of age.

• You have the legal authority to enter into these Affiliate Terms.

• All information provided during registration is accurate and complete.

• Your participation and promotional activities comply with all applicable laws and regulations.

2. Affiliate Portal and Commission Structure

The Program is powered by Tapfiliate. Upon acceptance, you will receive access to your affiliate portal, where you will find your unique tracking links, promotional materials, and applicable commission rates for each eligible program or product.

Commission rates vary by product and program and are disclosed within the affiliate portal at the time of acceptance. The Embody Lab reserves the right to modify commission rates at any time with reasonable notice provided through the affiliate portal or by email.

Commissions are earned when a referred customer completes a qualifying purchase using your unique affiliate link, subject to the terms set out in these Affiliate Terms.

3. Tracking, Attribution, and Cookie Window

Commissions are tracked through your unique affiliate link provided in the Tapfiliate portal. A 30-day cookie window applies to all referrals. This means that a referred customer must complete a qualifying purchase within 30 days of clicking your affiliate link in order for you to receive credit for the sale.

We are not responsible for tracking failures caused by a customer's browser settings, ad blockers, cookie restrictions, or any other technical factors outside of our control. We do not guarantee commission on any referred sale where tracking cannot be verified.

4. Payment Terms

Commissions will be paid out on a quarterly basis or following the close of the specific program to which the referral applies, whichever occurs last. This schedule ensures that all refund windows have elapsed before commissions are disbursed.

A minimum payout threshold of $15.00 USD applies. Commissions will not be disbursed until your account balance meets or exceeds this threshold. Unpaid balances below the threshold will roll forward to the next payout period.

Payment is issued via ACH, wire transfer, or PayPal. You may select your preferred payment method upon acceptance into the Program. Available payment methods are subject to change at any time. We will provide reasonable notice of any changes to payment options through the affiliate portal or by email.

You are solely responsible for any taxes, fees, or charges associated with receiving payment, including but not limited to wire transfer fees or taxes owed in your jurisdiction. The Embody Lab will not gross up payments to cover such costs.

5. Refunds and Commission Clawbacks

If a referred customer receives a full or partial refund for a purchase on which a commission was earned, the corresponding commission — or a proportionate portion thereof — will be deducted from your affiliate account. This may result in a negative balance that will be offset against future earnings.

The quarterly/program-close payment schedule exists in part to allow for refund resolution prior to disbursement. The Embody Lab is not obligated to pay commissions on transactions that are reversed, charged back, fraudulent, or otherwise voided.

6. Promotional Standards and Permitted Use

As an Affiliate, you are authorized to promote The Embody Lab's programs and products using your unique affiliate link. You agree to conduct all promotional activities in a professional, ethical, and legally compliant manner consistent with The Embody Lab's brand values and standards.

6.1 Brand Guidelines and Trademark Use

You may use The Embody Lab's name, approved logos, and promotional materials solely for the purpose of promoting your affiliate link. All use of The Embody Lab's branding must comply with our brand guidelines, which are provided in the affiliate portal. Specifically:

• You may not modify, alter, distort, or create derivative versions of The Embody Lab's logo, wordmark, or any other brand asset.

• You may not use The Embody Lab's trademarks or branding in a way that implies sponsorship, endorsement, ownership, or partnership beyond your role as an affiliate, unless expressly authorized in writing.

• Any trademark indicia (™ or ®) must be included at all times when displaying The Embody Lab's marks.

• You may not use The Embody Lab's branding on websites, platforms, or content that violates these Affiliate Terms or that could damage The Embody Lab's reputation.

6.2 Prohibited Promotional Practices

The following promotional practices are strictly prohibited:

• Spam: Sending unsolicited emails, messages, or communications of any kind to promote your affiliate link. All email or message-based promotion must comply with applicable anti-spam laws, including CAN-SPAM, CASL, and GDPR where applicable.

• Trademark Bidding: Bidding on The Embody Lab's brand name, variations thereof, or any of our trademarked program names in paid search advertising (e.g., Google Ads, Microsoft Ads). General paid search and paid social promotion are permitted, provided you are not bidding on our brand terms.

• Misleading Claims: Making false, exaggerated, or misleading claims about The Embody Lab's programs, outcomes, faculty, pricing, or any other aspect of our offerings. You may not make health, therapeutic, or clinical outcome guarantees on our behalf.

• Impersonation: Creating websites, social accounts, email addresses, or any other digital presence that impersonates or could be confused with The Embody Lab.

• Unauthorized Discount Codes: Publishing or distributing coupon codes, discount codes, or promotional offers that have not been expressly provided to you by The Embody Lab for affiliate use.

• Incentivized Clicks: Offering cash, rewards, or any other incentive to individuals in exchange for clicking your affiliate link without genuine purchase intent.

• Self-Referral: Using your own affiliate link to purchase The Embody Lab products or services for yourself, or directing immediate family members to use your link for the purpose of earning commissions.

• Adult Content: Promoting your affiliate link on websites, platforms, or in content that contains adult, explicit, or sexually oriented material.

• Gambling Sites: Promoting your affiliate link on gambling or betting websites. Exception: platforms focused on gambling addiction recovery, prevention, or harm reduction are permitted.

• Illegal Activity: Promoting your affiliate link in connection with any unlawful activity, or in any manner that violates applicable local, national, or international law.

7. Representations and Warranties

By participating in the Program, you represent and warrant that:

• All promotional content you create complies with applicable advertising laws, including FTC disclosure requirements. You must clearly and conspicuously disclose your affiliate relationship with The Embody Lab in all promotional content (e.g., "I may earn a commission if you purchase through this link").

• You will not make any representations about The Embody Lab's programs that are not expressly supported by our official marketing materials.

• You will not engage in any activity that could harm The Embody Lab's reputation, brand, or business relationships.

• You are solely responsible for your promotional channels, websites, social media accounts, and any content you create in connection with the Program.

8. Confidential Information

You may have access to non-public information about The Embody Lab's programs, pricing, commission structures, and other business information through your participation in the Program ("Confidential Information"). You agree to keep all Confidential Information strictly confidential and not to disclose it to any third party without our prior written consent, except as required by law.

9. Intellectual Property

All of The Embody Lab's programs, content, course materials, trademarks, logos, and other intellectual property remain the exclusive property of The Embody Lab. Your participation in the Program grants you a limited, non-exclusive, non-transferable, revocable license to use approved promotional materials solely for the purpose of promoting your affiliate link in accordance with these Affiliate Terms. No other rights are granted.

You may not reproduce, distribute, adapt, or create derivative works from The Embody Lab's content, program materials, or other intellectual property. For the avoidance of doubt, the intellectual property restrictions set out in The Embody Lab's general Terms of Use apply fully to affiliates.

10. Program Changes and Availability

The Embody Lab is actively expanding the Affiliate Program. At the time of your registration, commissions may not yet be available for all programs and products. As new offerings become available for affiliate promotion, you will be notified through the affiliate portal or by email.

The Embody Lab reserves the right to add, remove, or modify the programs and products available for affiliate promotion, adjust commission rates, change payment methods, or modify any other aspect of the Program at any time. Material changes will be communicated with reasonable advance notice where practicable.

11. Term and Termination

Your participation in the Affiliate Program may be terminated by either party at any time, with or without cause, by providing written notice via email. The Embody Lab reserves the right to immediately suspend or terminate your participation in the Program for any violation of these Affiliate Terms, our general Terms of Use, or for any conduct that we determine, in our sole discretion, is harmful to The Embody Lab, its reputation, or its customers.

Upon termination:

• Your affiliate links will be deactivated and will no longer track referrals.

• Any earned and unpaid commissions meeting the minimum payout threshold at the time of termination will be paid out in accordance with the standard payment schedule, provided no violations of these Affiliate Terms have occurred.

• Commissions associated with purchases that are subsequently refunded or charged back will be forfeited.

• All licenses granted to you under these Affiliate Terms will immediately terminate and you must cease all use of The Embody Lab's branding and promotional materials.

12. Disclaimers and Limitation of Liability

THE AFFILIATE PROGRAM IS PROVIDED "AS IS" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED. THE EMBODY LAB DOES NOT GUARANTEE ANY SPECIFIC LEVEL OF EARNINGS OR COMMISSIONS THROUGH PARTICIPATION IN THE PROGRAM.

TO THE FULLEST EXTENT PERMITTED BY LAW, THE EMBODY LAB SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES ARISING OUT OF OR RELATED TO YOUR PARTICIPATION IN THE AFFILIATE PROGRAM, INCLUDING BUT NOT LIMITED TO LOST PROFITS OR LOSS OF COMMISSIONS, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

You agree to indemnify, defend, and hold harmless The Embody Lab, its officers, directors, employees, agents, and affiliates from and against any and all claims, damages, liabilities, costs, and expenses (including reasonable attorneys' fees) arising out of or related to your participation in the Program, your promotional activities, or your breach of these Affiliate Terms.

13. Dispute Resolution and Governing Law

These Affiliate Terms shall be governed by the laws of the State of Delaware, without regard to conflict of law principles. Any dispute arising under or related to these Affiliate Terms shall be resolved by binding arbitration in accordance with the American Arbitration Association Rules, conducted in the State of Delaware. The decision of the arbitrator shall be final and binding.

14. General Provisions

These Affiliate Terms, together with The Embody Lab's general Terms of Use and Privacy Policy, constitute the entire agreement between you and The Embody Lab with respect to the Affiliate Program and supersede all prior agreements and understandings.

If any provision of these Affiliate Terms is found to be invalid or unenforceable, the remaining provisions shall continue in full force and effect.

Our failure to enforce any provision of these Affiliate Terms shall not constitute a waiver of our right to enforce such provision in the future.
